1. Definitions & Interpretation
Client – the person or entity engaging SCW Solar Clean Works (“we”, “us”, “our”).
Services – solar panel cleaning, protective coating, inspection, or related work.
Site – the location where services are performed (residential, commercial, or mine/solar farm).
Quote – the written proposal we issue, including scope, pricing, and start date.
Contract – formed when the Client accepts a Quote and these Terms.
Mine-site Services – services provided at mining or industrial sites requiring inductions and safety compliance.
2. Application & Acceptance
By accepting a Quote, booking, or requesting services, the Client agrees to these Terms.
Any variation must be agreed in writing.
3. Scope of Services
We provide the services listed in the Quote with reasonable care and skill, using professional, industry-approved methods.
For mine-site work, additional safety and induction conditions apply.
If unexpected conditions are found (dust, restricted access, safety hazards), the scope and price may vary.
4. Client Obligations
Provide safe access, water/electricity if required, and hazard information.
For mine sites, ensure inductions, access passes, and site safety compliance.
Ensure roof and panel structures are sound and compliant with Australian Standards.
We may reschedule or charge additional fees if the site is inaccessible or unsafe.
5. Quotation, Price & Payment
The Quote outlines scope, price, and payment terms.
Prices are based on the information provided and normal site conditions.
Variations or unforeseen conditions may incur extra costs.
Deposits may be required; balance due upon completion or as invoiced.
Late payments may attract interest and collection costs.
6. Scheduling, Access & Cancellation
We aim to meet scheduled times but weather, safety, or mine-site delays may affect timelines.
Residential cancellations require at least 24 hours’ notice; mine-site cancellations may need longer.
Fees may apply for missed or denied access.
7. Variations
All changes to scope, timing, or site access must be agreed in writing and may affect pricing.
8. Warranties & Limitations
We warrant that our services will be performed with due care and skill.
We cannot guarantee specific energy efficiency gains or coating performance due to variable conditions.
For coatings, we warrant correct application, not product lifespan.
Our liability is limited to the price paid for the services.
9. Liability & Indemnity
We are not liable for indirect or consequential losses (e.g., power loss, downtime).
The Client indemnifies us for losses arising from unsafe access or failure to provide accurate site info.
For mine-site work, the Client acknowledges higher risk and agrees to associated cost variations.
10. Insurance & Safety
We maintain public liability and workers’ compensation insurance.
Clients may request proof before commencement.
We reserve the right to suspend work if safety or compliance cannot be guaranteed.
11. Intellectual Property & Data
All photos, reports, and materials we produce remain our property unless otherwise agreed.
We may use non-identifiable images for marketing unless the Client opts out in writing.
Client data is protected under our Privacy Policy.
12. Force Majeure
We are not responsible for delays or failure to perform due to events beyond our control (weather, mine shutdowns, strikes, etc.).
13. Termination & Suspension
We may suspend or terminate services if the Client fails to pay, denies safe access, or breaches these Terms.
All fees for completed work remain payable.
14. Governing Law
These Terms are governed by the laws of South Australia, and both parties submit to the jurisdiction of its courts.
15. General
Invalid clauses do not affect the remainder of the agreement.
We may subcontract work where necessary.
